1. Agreement to Terms

Noxtics is owned and operated by Knoxed Limited, a company registered in England and Wales (“Knoxed”, “we”, “us”, or “our”). In these Terms, “Noxtics” refers to the brand, website, platform, and logistics services provided by Knoxed Limited.

By accessing or using the Noxtics platform or services (“Services”), you agree to be bound by these Terms of Service (“Terms”) with Knoxed Limited. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

2. Description of Services

Noxtics provides third-party logistics (3PL) services including warehousing, order fulfilment, inventory management, shipping coordination, and supply chain management software. The specific services provided to you are set out in your service agreement or order form.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorised use of your account.
• You may not share account credentials or allow third parties to access your account.
• You must be at least 18 years old and have legal capacity to enter into contracts.

4. Acceptable Use

You agree not to use the Services to:

• Ship prohibited, dangerous, or illegal goods without appropriate authorisation and documentation.
• Circumvent customs regulations, duty obligations, or import/export controls.
• Misrepresent the nature, value, or origin of goods.
• Interfere with or disrupt the platform, servers, or networks connected to the Services.
• Attempt to gain unauthorised access to any part of the Services or other customers' data.
• Violate any applicable laws, regulations, or third-party rights.

5. Fees and Payment

• Fees are set out in your service agreement and are subject to change with 30 days' notice.
• Invoices are due within 30 days of issue unless otherwise agreed in writing.
• Late payments incur interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts Act 1998.
• We reserve the right to suspend Services for accounts more than 60 days overdue.
• All fees are exclusive of VAT, which will be added where applicable.

6. Liability for Goods

Knoxed Limited's liability for loss or damage to goods in our care is limited to the lesser of the declared value or £25 per kilogram unless additional insurance coverage has been arranged. We are not liable for loss or damage caused by:

• Inherent defects or inadequate packaging by the customer.
• Force majeure events including natural disasters, strikes, or government actions.
• Delays caused by customs authorities or regulatory bodies.
• Incorrect delivery information provided by the customer or their end customers.

7. Intellectual Property

The Noxtics platform, software, and all associated intellectual property rights remain the exclusive property of Knoxed Limited. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes only.

You retain ownership of all data you submit to the platform. By using the Services, you grant Knoxed Limited a licence to process your data as necessary to provide the Services.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed in connection with the Services, and not to disclose it to third parties without prior written consent, except as required by law.

9. Limitation of Liability

To the fullest extent permitted by law, Knoxed Limited's total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the total fees paid by you to Knoxed Limited in the three months preceding the event giving rise to the claim.

Knoxed Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption, even if advised of the possibility of such damages.

10. Termination

Either party may terminate the Services with 30 days' written notice. We may terminate immediately if you materially breach these Terms or engage in fraudulent activity. Upon termination, you remain liable for all fees incurred up to the termination date, and we will return or dispose of any goods in our custody as agreed.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform at least 14 days before the changes take effect. Continued use of the Services after that date constitutes acceptance of the updated Terms.
